Please read these terms carefully before using Bright Harbor Cloud services.
1. Introduction
Welcome to Bright Harbor Cloud. These Terms of Service ("Terms") govern your access to and use of our cloud technology consultancy services, website, and platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.
2. Service Description
Bright Harbor Cloud provides cloud technology consultancy services including but not limited to:
- Website speed optimization and performance improvement
- Infrastructure reliability assessment and enhancement
- Cloud migration planning and execution
- Security audits and implementation
- Digital performance monitoring and optimization
We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice to our clients.
3. Account Registration and Security
To access certain features of our Services, you may be required to register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. Payment and Billing
4.1 Fees: You agree to pay all fees associated with your selected service plan. All fees are quoted in U.S. dollars unless otherwise specified.
4.2 Billing Cycle: Services are billed on a monthly or annual basis as selected during enrollment. Fees are due at the beginning of each billing cycle.
4.3 Payment Methods: We accept major credit cards and other payment methods as specified on our platform. You authorize us to charge your selected payment method for all fees.
4.4 Late Payments: Late payments may result in service suspension or termination. A late fee may be charged for overdue payments as permitted by law.
4.5 Taxes: All fees are exclusive of applicable taxes, which will be added to your invoice as required by law.
4.6 Price Changes: We reserve the right to modify our pricing with 30 days' notice. Changes will apply at the start of your next billing cycle.
5. Refund and Cancellation Policy
5.1 Cancellation: You may cancel your subscription at any time through your account settings. Cancellations will take effect at the end of the current billing period.
5.2 Refunds: We offer a 30-day money-back guarantee for new customers. Refund requests must be submitted within 30 days of initial payment. Annual subscriptions are not eligible for partial refunds after the 30-day period.
5.3 No Refunds for Violations: No refunds will be issued if your account is terminated for violation of these Terms.
6. Acceptable Use Policy
You agree not to use our Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malware, viruses, or harmful code
- Engage in unauthorized access or security testing without permission
- Interfere with or disrupt the Services or servers
- Impersonate others or misrepresent your affiliation with any entity
- Collect or harvest user data without consent
- Reverse engineer or attempt to derive source code from our Services
Violation of this policy may result in immediate termination of your account and potential legal action.
7. Intellectual Property Rights
7.1 Our Rights: All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and design, are owned by Bright Harbor Cloud or our licensors and are protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your business purposes in accordance with these Terms.
7.3 Your Content: You retain all rights to content you upload or submit to our Services. By submitting content, you grant us a license to use, store, and process such content solely for the purpose of providing the Services.
7.4 Feedback: Any feedback, suggestions, or ideas you provide about our Services may be used by us without obligation or compensation to you.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This includes business strategies, technical information, customer data, and pricing details.
Confidential information does not include information that:
- Is or becomes publicly available through no breach of this agreement
- Was rightfully in the receiving party's possession prior to disclosure
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
9. Data Protection and Privacy
We are committed to protecting your privacy and handling your data responsibly. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using our Services, you acknowledge that we may process your data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA where applicable.
We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.
10. Warranties and Disclaimers
10.1 Service Warranty: We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to ensure service availability and performance.
10.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.3 No Guarantee: We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or disruptions caused by circumstances beyond our reasonable control.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHT HARBOR CLOUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Bright Harbor Cloud, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- Content you submit or transmit through the Services
13. Service Level Agreement
13.1 Uptime: We strive to maintain 99.9% uptime for our platform services, excluding scheduled maintenance windows.
13.2 Maintenance: Scheduled maintenance will be performed during off-peak hours with advance notice of at least 48 hours when possible.
13.3 Support: We provide email support during business hours (Monday-Friday, 9 AM - 5 PM EST) with response times based on your service tier. Premium plans include priority support with faster response times.
13.4 Credits: If we fail to meet our uptime commitment, you may be eligible for service credits as outlined in your service agreement.
14. Third-Party Services and Links
Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by Bright Harbor Cloud. We may also integrate with third-party platforms and tools to deliver our Services.
We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services.
We recommend reviewing the terms and privacy policies of any third-party services you access through our platform.
15. Termination
15.1 Termination by You: You may terminate your account at any time by contacting our support team or through your account settings. Termination will be effective at the end of your current billing period.
15.2 Termination by Us: We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Non-payment of fees
- Fraudulent, abusive, or illegal activity
- Actions that harm our Services or other users
15.3 Effect of Termination: Upon termination, your right to access and use the Services will immediately cease. We may delete your account and all associated data after a reasonable period following termination.
15.4 Survival: Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
16. Dispute Resolution
16.1 Informal Resolution: In the event of any dispute, claim, or controversy arising from these Terms or the Services, the parties agree to first attempt to resolve the matter informally through good faith negotiations.
16.2 Arbitration: If the dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration. Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association.
16.3 Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.
16.4 Exceptions: Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement of intellectual property rights.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties irrevocably consent to the personal jurisdiction and venue therein.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website with a new "Last Updated" date
- Sending an email notification to your registered email address
- Displaying a prominent notice on our platform
Your continued use of the Services after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and cancel your account.
19. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
The affected party shall promptly notify the other party of such force majeure event and make reasonable efforts to mitigate its effects.
20. Assignment
You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment or transfer without such consent shall be null and void.
We may assign these Terms or any rights hereunder without restriction, including to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these Terms.
The remaining provisions of these Terms shall continue in full force and effect.
22. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Waivers must be in writing and signed by an authorized representative of Bright Harbor Cloud to be effective.
23. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and Bright Harbor Cloud concerning the Services and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof.
